SupplyPassport provides automated document generation tools designed to assist manufacturers, suppliers, importers, and distributors in formatting administrative compliance documentation, including EU REACH and EU RoHS Declarations of Conformity.

SupplyPassport is a software platform, not a legal firm, testing laboratory, or regulatory consultancy.

2. User Responsibility & Data Integrity

You acknowledge and agree that:

  • Sole Liability for Accuracy:The accuracy, completeness, and legal validity of any generated declaration depend entirely on the data provided by you (the "User"). You represent and warrant that all company details, chemical concentrations, product models, SKUs, and applied regulatory exemptions submitted to the tool are accurate and truthful.
  • No Verification by SupplyPassport:SupplyPassport does not verify, audit, test, or validate any chemical compositions, technical construction files, or product declarations generated through the tool.
  • Authority to Sign: You confirm that any signatory name provided holds the requisite legal authority to issue formal compliance declarations on behalf of the named company.

3. No Legal or Engineering Advice

The content, templates, and generated documents provided via SupplyPassport are for administrative convenience and reference purposes only. They do not constitute formal legal advice, chemical engineering analysis, or laboratory testing. You are strongly advised to consult qualified legal counsel or accredited compliance experts to ensure full adherence to applicable laws, including Regulation (EC) No 1907/2006 (REACH) and Directive 2011/65/EU (RoHS).

4. Limitation of Liability

To the maximum extent permitted by applicable law:

  • SupplyPassport, its directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Services or reliance on any generated document.
  • SupplyPassport explicitly disclaims liability for any customs rejections, regulatory fines, product recalls, supply chain delays, or commercial contract disputes resulting from inaccurate, incomplete, or rejected compliance documentation generated through our platform.

5. Intellectual Property & Document Ownership

  • User Output: You retain all rights and ownership of the specific business data and completed declaration PDFs generated via the tool.
  • Platform Content:SupplyPassport retains all rights, title, and interest in and to the platform's branding, source code, design assets, and underlying document automation workflows.

6. Data Usage & Electronic Communications

By submitting your information and email address to generate a declaration:

  • You consent to receiving the generated document and related transactional notifications via email.
  • You acknowledge that electronic signatures typed into our tools are intended to bind the issuing company under applicable electronic signature frameworks (such as the EU eIDAS Regulation).

7. Indemnification

You agree to defend, indemnify, and hold harmless SupplyPassport and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in any way connected with your violation of these Terms, false inputs, or third-party disputes relating to generated compliance documents.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SupplyPassport operates, without regard to its conflict of law principles.
